By creating an account, accessing the Platform, or purchasing any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
These Terms constitute a legally binding agreement between you and Grace Chinese. Please read them carefully.

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse our Services. You may delete your account at any time from your account settings.
All payments are processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. We accept major credit and debit cards. We do not store your full credit card information on our servers.
All prices are listed in USD unless otherwise stated. Prices are subject to change, but changes will not affect purchases already made. Current pricing is available on our website and in our Platform.
Prices do not include applicable taxes, duties, or fees. You are responsible for all taxes associated with your purchase, except for taxes based on our net income.
If a payment fails, we may suspend your access to purchased Services until payment is successfully processed. Repeated payment failures may result in cancellation of your Services.
Coupon codes and promotional discounts are subject to specific terms and expiration dates. Codes are not transferable, cannot be combined with other offers (unless stated), and may be revoked at any time. One coupon per purchase.
If you are not satisfied with your Trial Class, you may request a full refund within 24 hours of the session. Refund requests must be sent to [email protected] with a brief explanation.

Digital products (PDFs, audio packs, workbooks) are non-refundable once downloaded, except in cases of technical errors or incorrect product delivery.
Customers in the European Union have a 14-day right of withdrawal for purchases. However, this right is waived if you begin using the Service (start a lesson, access course materials) before the 14-day period expires. By starting the Service, you expressly request immediate performance and acknowledge that you lose your right of withdrawal.
Approved refunds are processed within 5-10 business days and issued to the original payment method. Processing times may vary depending on your bank or card issuer.
Private lessons must be scheduled through our booking system. Lesson times are subject to instructor availability. We recommend scheduling lessons at least 48 hours in advance.
You are responsible for ensuring you have a stable internet connection, working camera/microphone, and compatible device for online lessons. Technical issues on your end do not entitle you to a refund or rescheduling unless we cannot reasonably accommodate your situation.
All content on the Platform, including courses, lessons, videos, text, graphics, logos, images, audio, software, and other materials (collectively, “Content”), is owned by Grace Chinese or our licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Content solely for your personal, non-commercial educational purposes. You may not:

Grace Chinese offers a referral program that allows registered users to earn commissions by referring new customers to our Services. Participation in the referral program is subject to these Terms and the specific rules outlined below.

Referrers earn commissions based on a tiered system. Commission rates and tier thresholds are displayed in your Referral Dashboard and may be adjusted from time to time:
Current commission rates and tier requirements are always displayed in your Referral Dashboard. Commissions are calculated on the net purchase amount (excluding taxes, fees, and any discounts applied). Trial classes, free resources, and promotional items do not generate commissions.
To protect against refunds and fraudulent activity, all commissions are subject to a holding periodfrom the date of the referred purchase (duration as displayed in your Dashboard). During this period, commissions remain in “pending” status.

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
While we strive to provide high-quality educational content, we do not guarantee specific learning outcomes, language proficiency levels, or exam results. Your progress depends on many factors including your effort, dedication, and prior experience.
To the maximum extent permitted by law, Grace Chinese and its instructors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of our Services.
Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid us in the 12 months preceding the claim.
We use third-party services (Stripe, Zoom, etc.) and are not responsible for their performance, availability, or security. Your use of third-party services is subject to their respective terms and policies.
You agree to indemnify, defend, and hold harmless Grace Chinese, its instructors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your violation of these Terms, (b) your use or misuse of our Services, (c) your violation of any third-party rights, or (d) any content you submit or share through our Platform.
You may terminate your account at any time by contacting us at [email protected] or deleting your account from your account settings. Termination does not entitle you to a refund except as outlined in our refund policy.
We may suspend or terminate your account and access to Services immediately, without notice, if you violate these Terms or engage in fraudulent or harmful activity. We are not liable for any loss or damage resulting from such termination.
Upon termination, your right to use our Services ceases immediately. Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
